Terms of Service

TERMS
The term "CLIENT" in the below statements shall mean any person, group, business, or other entity that contacts Manna Studio, LLC in regards to any product or service. Terms of service as written below and herein shall apply to any and all graphics, designs, services, products, programs, and any other actions and communications performed by Manna Studio, LLC for said CLIENT.

LATE PAYMENT AND ASSESSMENT OF LATE CHARGES
Payment not received within 15 days of the initial invoice will be subject to a late fee of $25.00. An additional, monthly interest rate of 10% of the balance due, will be applied each month, for as long as the account remains overdue.

A $25.00 charge applies to any returned checks. CLIENT also agrees to pay for any and all bank charges incurred. If bank charges due to returned check are not paid within 5 days, a $25 late fee will be assessed, and a monthly interest rate of 10% of the balance due, will be applied each month, for as long as the the account remains overdue.

CANCELLATION OF WORK
The CLIENT may, at any time and for any reason, halt the design process by providing written notice. The CLIENT agrees to pay for any and all fees accrued to that point, including, but not limited to time spent, preliminary concept development, communications, hosting or domain services used, sub-contractors and any additional costs related to the project.

DESIGN CREDIT
CLIENT agrees that a Manna Studio, LLC credit link will appear at the bottom of each page on the CLIENT site with exceptions to pages supplied by or designed by others (pre-existing sites). Link will be in the form of a small graphic and/or text link. Removal of the credit link requires an additional payment of $1000, unless otherwise agreed to in writing.

OWNERSHIP
Manna Studio, LLC disclaims ownership of all photos, logos, pages, documents, text, and other media provided or suggested by the CLIENT, for use in any service, product or media provided by Manna Studio, LLC. The CLIENT is legally liable for the content of any work produced, including, but not limited to websites, print material, and cd-rom. This includes abiding by all local, state, national, and international laws.

All materials created or designed by Manna Studio, LLC are copyright by Manna Studio, LLC in accordance with the U.S. copyright law and shall not be reproduced in any form, unless otherwise stated on an original and written Manna Studio, LLC license or permit. Usage of any provided images, media or other material not granted in writing, shall require payment of an additional arranged fee. All usage rights not explicitly transferred in writing are reserved by Manna Studio. Usage beyond that granted in writing shall require payment of an additional arranged fee.

DAMAGES
In the event that CLIENT is held legally liable for any cause, CLIENT agrees to, in no way shape or form, hold Manna Studio, LLC liable for any damages or other liabilities. Manna Studio, LLC assumes no liability for disruptions of any provided service, including but not limited to outages, Internet disruptions, loss of data, or any other causes. Manna Studio, LLC shall not be responsible for consequential damages or punitive or exemplary damages under any circumstances. You agree to indemnify and hold Manna Studio, LLC harmless from any loss, liability, claim, damage, and expense (including attorney fees) arising from or related to the content, use, service interruption, web document inaccessibility, or deletion of a customers web documents or use of any other Manna Studio, LLC feature or service.

PRIVACY
Manna Studio, LLC will not purposely share any personal customer information with any outside agency with the exception of advertising or other services requested by the customer. All other personal info will be used by Manna Studio, LLC for direct CLIENT contact only.

SUBJECT TO CHANGE
Terms and conditions Agreement is subject to change without prior written notice by Manna Studio, LLC.

All Manna Studio, LLC customers are made fully aware of the terms of service herein and by conducting any type business or relations with Manna Studio, LLC you signify your agreement to the terms of Service herein whether a signature is provided or not.
